1. Introduction

These Terms & Conditions (“Terms”) set out the basis on which Adsolute.co.uk Ltd (“we”, “our”, “us”) provides services to clients (“you”, “your”). By engaging our services, visiting our website, or entering into an agreement with us, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you should not use our services. We reserve the right to update or amend these Terms at any time, and the latest version will always be available on our website.

2. Our Services

2.1 Google My Business (Google Business Profile) Management & Optimisation

• Services are provided on a monthly basis.
• Fees are payable monthly in advance and must be cleared before the service begins.
• Billing renews on the same date each month.
• Cancellation requires at least 30 days’ written notice before the next renewal date.

2.2 Logo Design & Branding

• We design and deliver custom logos in multiple formats.
• Premium logo packages are available at higher fees.
• Payment Terms 50% deposit is required at sign-up and the remaining 50% must be paid upon final confirmation before delivery.
• All deliverables remain our property until full payment is received.

2.3 Social Media Marketing

• Covers management, maintenance, and optimisation of social media platforms.
• Fees are charged monthly in advance.
• Work commences only after cleared payment.
• Cancellation requires 30 days’ written notice before the next billing cycle.

2.4 Content Writing

• We deliver custom-written content tailored to your business.
• Quality samples may be shared prior to sign-up.
• 100% upfront payment is required before work begins.
• Content remains our property until paid for in full.

2.5 Lead Generation

• We generate leads through channels such as Google Ads, Meta Ads, LinkedIn Ads, cold outreach, retargeting, and remarketing.
• Campaign Setup: 5–7 working days post sign-up.
• Lead Delivery: Generally within 7–10 working days of setup but may take up to 30 working days due to platform approvals, optimisation periods, and policy changes.
• Fees: Our service fee equals the ads investment amount (e.g., if ad spend is £1,000, our service fee is £1,000 per campaign). Minimum ad spend is £500.
• Refund Policy: Strict ZERO refund due to advertising costs, platform fees, and allocated resources.

Important Pricing & Deliverables Clause:
In order to generate leads, we rely on third-party platforms such as Google Ads, Meta Ads, and LinkedIn Ads. The cost per lead is not fixed and may rise or fall depending on multiple external factors, including platform algorithms, demand fluctuations, audience competition, and policy updates.

• The initial price quoted for lead generation is based on a pre-check of the platforms at the time of proposal.
• If the cost per lead increases or decreases, both the pricing and the number of deliverables will be subject to adjustment.
• In such cases, we will keep you informed promptly via calls, chats, or emails.
• By signing up, you acknowledge that lead generation pricing is dynamic and dependent on third-party systems beyond our control.

2.6 Website Development

• We provide customised website design and development solutions.
• Payment Terms:
  • 50% deposit at project commencement
  • 25% at first revision
  • Final 25% before launch
• The website remains our property until payment is made in full.
• Ongoing hosting and maintenance are billed separately on a monthly basis (if applicable).

2.7 SEO (Search Engine Optimisation)

• Services are billed monthly in advance.
• SEO requires a minimum 6-month engagement for effective results.
• We do not guarantee specific rankings, as performance depends on external search engine algorithms.

2.8 Appointment Setting

• We provide B2B appointment-setting services to fill sales pipelines (not end-to-end sales).
• Minimum Contract: 6 months.
• Payment Terms: First 3 months’ fees must be paid upfront, followed by monthly billing.
• Refund Policy: Strict ZERO refund policy, due to upfront investment in tools, manpower, and resources.

3. Payment Terms

• All invoices are payable in GBP.
• Work will only commence upon receipt of cleared payment.
• Late or missed payments may result in suspension of services without notice.
• We reserve the right to charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 on overdue invoices.

4. Refund Policy

• Refunds are not available once work has commenced.
• Strict ZERO refund policy applies to Lead Generation, Appointment Setting, and any prepaid campaigns.

5. Client Responsibilities

You agree to:

• Provide accurate, complete, and timely information required to deliver services.
• Supply necessary approvals, access, and feedback within agreed timelines.
• Ensure all materials you provide do not infringe third-party rights or applicable laws.

6. Intellectual Property

• All creative materials, websites, and content remain our intellectual property until paid in full.
• Upon full payment, ownership transfers to you, excluding licensed stock assets, fonts, or third-party components.

7. Limitation of Liability

• We are not liable for:
  • Delays caused by third-party platforms or algorithms.
  • Losses resulting from changes in advertising or search engine policies.
  • Any indirect, incidental, or consequential damages.
• Our liability under these Terms shall not exceed the total fees paid by you for the specific service.

8. Data Protection & Privacy

• We comply fully with the UK Data Protection Act 2018 and the UK GDPR.
• Personal data is collected, stored, and processed only in line with our Privacy Policy.

9. Termination

• Either party may terminate a service agreement by giving notice in accordance with the cancellation terms of that service.
• We may terminate immediately if you breach these Terms or fail to make payments.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
